4. Indemnification.
You agree to indemnify, defend and hold harmless Truck Process Agents of America, Inc., its affiliates, successors, joint venturers, partners, officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement (including but not limited to negligent or wrongful conduct) by you or any other person accessing the service.

5. Third Party Rights.
The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of Truck Process Agents of America, Inc. and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

6.Term; Termination.
This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive termination of this Agreement.

7.Miscellaneous.
This Agreement shall all be governed and construed in accordance with the laws of United States of America applicable to agreements made and to be performed in United States of America. You agree that any legal action or proceeding between Truck Process Agents of America, Inc. and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the State of South Dakota, United States of America. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Truck Process Agents of America, Inc.’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Truck Process Agents of America, Inc. may assign its rights and duties under this Agreement to any party at any time without notice to you.

8. Description of Services and Fees.
By accessing this site and with the purchase of the FMCSA process agent program your company agrees as follows: As an FMCSA regulated carrier, you maybe required to submit a copy of your boc-3 (process agent list) along with the certain USDOT required filings. If you are an Exempt or Private carrier, you will use this list when making an initial State application for operating authority or when renewing your state application for when applying for stamps. Do not use our agent’s names in the event your company registers as a “Foreign Corporation”. Our agents do not act as “resident agents”. In the event your company changes it’s legal name and/or address, you must contact our office with the current and updated information. Failure to advise us of these changes will release us from any liability in connection with the service of legal documents and will result in the cancellation of your FMCSA process agents. Service fees assessed as follows: *Forwarding of legal documents to your company when our agent is served= $75.00*Legal Name Change= $35.00 *Change of address= $35.00 *FMCSA process agent list update= $10.00* Other services as agreed on in price and scope. *Fees are subject to change without notification. Any rights of Truck Process Agents of America, Inc. not expressly granted herein are reserved.
